Terms of Service

Agreement

These Terms of Service govern your use of the software and services provided by Agent Call Desk LLC ("Agent Call Desk"). By subscribing to or using the service you agree to these terms. If you are accepting on behalf of a brokerage, you represent that you have authority to bind that brokerage.

Eligibility

The service is available only to real estate licensees and brokerages that hold current membership in good standing with a multiple listing service from which we are licensed to receive data. We may verify your membership at any time and may suspend access if membership lapses or if a multiple listing service directs us to do so.

What we are not

Agent Call Desk is a software provider. We are not a real estate brokerage, a mortgage lender, an appraiser, or a provider of legal, tax, or financial advice. Nothing generated by the service constitutes a loan approval, a commitment to lend, an offer of credit, an appraisal, or a guarantee of value or terms.

Financing scenarios are estimates

Payment figures, seller net calculations, and similar outputs are illustrative estimates generated from the inputs provided and from assumptions about rates, taxes, insurance, and fees. They are not quotes and are not guaranteed. Actual figures depend on underwriting, credit, property, and market conditions at the time of application. You are responsible for reviewing every output before delivering it to a client and for including any disclosure your brokerage or applicable law requires.

Listing content and MLS rules

Listing content available through the service is licensed from multiple listing services and remains the property of those services and their participants. Your use of that content is subject to the rules of your multiple listing service in addition to these terms, including rules on display, attribution, refresh frequency, and permitted use.

You agree not to copy, redistribute, resell, sublicense, scrape, or bulk-export listing content, and not to use it for any purpose other than the marketing of properties and the service of clients in your capacity as a licensee. Violations may be reported to your multiple listing service and may result in immediate termination.

Your content and responsibilities

You retain ownership of the photographs, text, and client information you submit. You grant us a limited license to process that material solely to operate the service for you. You represent that you hold the rights necessary to submit it, including rights to any listing photography you upload.

You are responsible for the accuracy of information you enter, for compliance with fair housing, advertising, licensing, and solicitation laws, and for obtaining any consent required before sending communications to clients or prospects through the service.

Artificial intelligence outputs

Portions of the service generate text and images using artificial intelligence. These outputs may contain errors and require your review before use. Virtually staged images must be disclosed as virtually staged wherever your multiple listing service or applicable law requires. You are solely responsible for how you use generated material.

Fees and billing

Subscriptions are billed monthly in advance at the rates published on our website. Rates are offered uniformly and are not conditioned on referrals, transaction volume, or business directed to any third party. Fees are non-refundable except where required by law. You may cancel at any time and access continues through the end of the paid period. We may change pricing with at least thirty days' notice.

Acceptable use

You may not share your account credentials, permit non-subscribers to use the service, reverse engineer the software, interfere with its operation, or use it to transmit unlawful, deceptive, or harassing material. Each licensee requires a separate subscription.

Availability

We aim for continuous availability but do not guarantee uninterrupted service. Features depending on third-party systems, including multiple listing service data feeds, may be unavailable for reasons outside our control. We may modify or discontinue features with reasonable notice.

Disclaimers and limitation of liability

The service is provided on an as-is and as-available basis without warranties of any kind, express or implied, to the fullest extent permitted by law. To the maximum extent permitted by law, our aggregate liability arising out of or relating to the service will not exceed the fees you paid us in the twelve months preceding the claim, and we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost business.

Indemnification

You agree to indemnify and hold us harmless from claims arising out of your use of the service, your content, your communications with clients, or your violation of these terms or of multiple listing service rules.

Termination

Either party may terminate at any time. We may suspend or terminate access immediately for non-payment, for violation of these terms or of multiple listing service rules, or at the direction of a multiple listing service. On termination your access ends and cached listing content associated with your account is purged.

Governing law

These terms are governed by the laws of the State of Georgia without regard to conflict of laws principles. Disputes will be resolved in the state or federal courts located in Fulton County, Georgia.
